Terms of Service

1. Acceptance

By creating an account, connecting an integration, or using any part of the Stk service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use Stk. These Terms form a binding agreement between you (“Merchant” or “you”) and the operator of Stk.

2. Service description

Stk is a cloud-based, multi-tenant inventory management platform that helps wholesale and retail merchants track stock, create sales and purchase orders, and synchronise data with third-party services including Shopify, Xero, and Starshipit. Stk is a business tool provided to merchants — it is not a consumer-facing product.

3. Account registration

You must provide accurate, complete information when registering. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised access at support@stk.now. Stk uses token-based authentication; you are responsible for keeping access credentials secure. Shared or transferred accounts are not permitted without our written consent.

4. Acceptable use

You may use Stk only for lawful business purposes in connection with managing your own inventory, orders, and customer relationships. You must not:

  • Resell, sublicense, or provide API access to Stk to third parties;
  • Use automated bots, scrapers, or scripts to extract data beyond normal application use;
  • Attempt to circumvent authentication, access controls, or multi-tenant isolation;
  • Upload or process data that is illegal, fraudulent, or violates the rights of others;
  • Use Stk in a way that imposes an unreasonable load on our infrastructure — legitimate inventory operations for a single trading entity are fine.

We reserve the right to suspend accounts that breach these rules without prior notice.

5. Subscriptions and payment

Stk subscriptions are billed through Stk’s own subscription system. Fees, billing periods, and renewal terms are communicated at sign-up and in your account settings. All fees are exclusive of GST and other applicable taxes, which will be added where required by law. Failed payments may result in suspension of access. Except where required by law or stated in an applicable plan, fees are non-refundable.

6. Your data

You retain ownership of all data you or your connected services submit to Stk, including products, orders, contacts, inventory records, advertising data, and prompts (“Merchant Data”). You grant us a limited licence to host, copy, transmit, transform, analyse, and display Merchant Data as necessary to provide, secure, support, and maintain the service and to perform the integrations and features you enable.

You are responsible for the legality, accuracy, quality, and integrity of Merchant Data; obtaining all notices, consents, and permissions required to provide it to Stk and enabled third parties; checking synchronisation results and reports before relying on them; and maintaining independent exports or backups appropriate to your business. Stk is not your sole system of record, backup service, disaster-recovery service, accountant, or professional adviser.

7. Analytics and large language models

Some optional analytics features use an external large language model (“LLM”) to interpret pre-computed business and advertising aggregates and produce reports or recommendations. When you enable or request an LLM-assisted analysis, you instruct and authorise Stk to transmit the relevant aggregate metrics, labels, analysis prompt, and other displayed analysis context to the external LLM provider. This processing occurs outside the Stk environment and may occur outside Australia. Stk’s current analytics design excludes raw orders and direct customer identifiers such as names, email addresses, phone numbers, and street addresses from the LLM payload.

If your organisation does not want its analytics data or prompts sent to an external LLM service, do not enable or use LLM-assisted analytics and disable the analytics integration. Contact support if immediate deactivation is required. Do not put personal information, sensitive information, confidential third-party material, or regulated data into an editable analytics prompt. An external provider may retain or otherwise process submitted inputs and outputs under its own terms and privacy policy, which may include service improvement or model training. We do not control the provider’s systems and do not promise that it will retain no copy.

LLM output is probabilistic and may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances. It is provided for general business information only, without a warranty of accuracy, and is not accounting, financial, legal, tax, advertising, or other professional advice. You must independently check source data, calculations, assumptions, and recommendations before making decisions. You remain responsible for decisions, expenditure, communications, and other actions taken or not taken in reliance on an analysis.

8. Third-party services and integrations

Stk connects to services such as Shopify, Xero, Starshipit, DigitalOcean, Meta, and external LLM providers. Their services, APIs, data, security, terms, locations, and availability are outside our control. To the maximum extent permitted by law, we are not responsible for their acts or omissions, outages, delays, data errors or loss, security incidents, API or policy changes, charges, suspension, or discontinuance. You are responsible for maintaining valid credentials and permissions and for complying with each provider’s terms. Third-party services may change or cease to interoperate with Stk without notice.

9. Service availability and changes

We aim to keep Stk available, but do not promise any service level, uptime percentage, uninterrupted or error-free operation, or that data will always be available, accurate, complete, recoverable, or preserved, unless a separate written service-level agreement expressly says otherwise. Maintenance, releases, internet or infrastructure failures, cyber incidents, capacity constraints, third-party failures, and events beyond our reasonable control may cause delay, degradation, or downtime. We may modify, replace, suspend, or discontinue features to maintain security, comply with law, respond to provider changes, or develop the service. We will use reasonable efforts to give advance notice of planned maintenance or a material reduction in core functionality where practical.

10. Limitation of liability

To the maximum extent permitted by applicable law:

  • Stk and all reports, outputs, integrations, and beta features are provided “as is” and “as available”, and all warranties, representations, guarantees, and conditions not expressly stated in these Terms are excluded;
  • we are not liable for loss, corruption, deletion, disclosure, or inability to recover Merchant Data, the cost of reconstructing or restoring data, inaccurate inventory or order records, failed or duplicated synchronisation, loss of revenue, profit, savings, goodwill, reputation, business opportunity, or business interruption, or any indirect, incidental, special, exemplary, punitive, or consequential loss;
  • the exclusions apply whether a claim arises in contract, tort (including negligence), statute, or otherwise, and whether the loss arises from use of, reliance on, delay in, or inability to use Stk, an integration, third-party service, or LLM output, even if we were advised that the loss was possible;
  • our total aggregate liability arising out of or relating to the service or these Terms will not exceed the fees you paid for Stk in the three months immediately preceding the first event giving rise to the claim.

Nothing in these Terms excludes, restricts, or modifies a consumer guarantee, right, remedy, or liability that cannot lawfully be excluded or limited, including under the Australian Consumer Law. Where a non-excludable guarantee applies and the law permits us to limit the remedy, our liability is limited, at our option, to resupplying the affected services or paying the reasonable cost of having them supplied again.

11. Indemnity

To the maximum extent permitted by law, you indemnify Stk and its personnel against third-party claims, losses, and reasonable costs arising from Merchant Data you provide, your unlawful or unauthorised use of Stk, your breach of clauses 3, 4, or 6, or your infringement of another person’s privacy, confidentiality, or intellectual-property rights. This indemnity is reduced to the extent our act or omission caused or contributed to the loss.

12. Intellectual property

All software, designs, trademarks, and content that make up the Stk platform (excluding your data) are owned by or licensed to us. “Stk” and “stk.now” are trading identifiers of the operator.

13. Termination and data export

Either party may terminate the agreement with 30 days’ written notice. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if continued access poses a security, operational, or legal risk. You should export required Merchant Data before termination. Subject to legal, security, backup, and technical requirements, Merchant Data remaining in the active service will ordinarily be retained for up to 30 days after termination to allow export and then deleted or de-identified. We do not guarantee recovery after termination, and deletion from backups and third-party systems may occur on their separate retention cycles.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of Stk after that date constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia. Any dispute will be subject to the non-exclusive jurisdiction of the courts of New South Wales.
